MyDukeCE Platform End User License Agreement 1. Acceptance of Terms By registering for and using the MyDukeCE platform, you (“Participant”) acknowledge and agree to comply with the terms and conditions set forth in this End User License Agreement (“Agreement”). Your access to the MyDukeCE platform is contingent upon your acceptance of this Agreement. MyDukeCE is hosted on a platform provided by Duke CE’s third-party provider Intellum Inc., therefore the use of MyDukeCE is additionally governed by the Terms of Service for the Intellum platform, which Participant hereby acknowledges. If you do not agree to these terms (https://www.intellum.com/terms-of-service), you are not permitted to access or use the MyDukeCE platform.

  1. Grant of License Subject to your compliance with this Agreement, Duke Corporate Education (“Duke CE”) grants you a limited, non-exclusive, non-transferable, and revocable right to access and use the MyDukeCE platform and its content solely for your personal, non-commercial educational purposes as a participant in a program provided by Duke CE.
  2. Ownership and Intellectual Property Rights All content, materials, features, and functionalities available on the MyDukeCE platform, including but not limited to text, videos, audio, graphics, and interactive features (“Content”), are the exclusive property of Duke CE and its licensors. All rights, title, and interest in and to the Content are protected by applicable copyright, trademark, and other intellectual property laws.
  3. Permitted Use and Restrictions Participants are permitted to: 1) Access and view the Content solely for educational purposes related to the program in which they are enrolled. 2) Download and print limited portions of the Content for personal, non-commercial educational use. Participants are not permitted to: 1) Share their login credentials with others, including other participants. 2) Copy, distribute, reproduce, republish, upload, post, transmit, or share any Content outside of the platform, except with the prior written permission of Duke CE. 3) Record, videotape, or otherwise capture any live or pre-recorded sessions without express authorization. 4) Use the Content for any commercial purposes or for the benefit of any third party. 5) Reverse-engineer, decompile, or otherwise attempt to extract the source code or underlying algorithms of the platform.
  4. Data Privacy and Security Duke CE is committed to protecting your personal information in accordance with its Privacy Policy, which you can access here. By using the platform, you consent to the collection, use, and disclosure of your information as described in the Privacy Policy and in accordance with applicable laws.
  5. Recordings and Consent Duke CE may record sessions at its clients’ request for quality, educational, and compliance purposes. You will be notified in advance of any such recordings. By participating in the program, you consent to such recordings and grant Duke CE the right to use, edit, and distribute such recordings solely for internal educational purposes. You will not have the right to access or use these recordings for any other purpose.
  6. Termination Duke CE reserves the right to suspend your access to the MyDukeCE platform at its sole discretion, without prior notice, if you are found to be in breach of this Agreement. Upon termination, you must immediately cease all use of the platform and destroy any downloaded Content in your possession.
  7. Disclaimer of Warranties The MyDukeCE platform and the Content are provided on an “as is” and “as available” basis. Duke CE and its providers make no representations or warranties of any kind, express or implied, as to the operation of the platform or the information, content, materials, or products included therein. Duke CE does not warrant that the services or content will be uninterrupted or error-free, and Duke CE will not be liable for any interruptions or errors.
  8. Limitation of Liability To the fullest extent permitted by applicable law, Duke CE shall not be liable for any indirect, incidental, or consequential damages arising out of or in connection with your use of or inability to use the MyDukeCE platform or the Content provided by Duke CE.
  9. Amendments Duke CE may modify this Agreement from time to time to reflect changes in the platform or to address new legal or business requirements. Any amendments will be posted on the platform, and your continued use of the platform after such amendments constitutes your acceptance of the revised Agreement.
  10. Governing Law This Agreement is governed by and construed in accordance with the laws of the State of North Carolina, USA, without regard to its conflict of laws principles.
